Please read these Terms and Conditions carefully before using Our Service. These Terms constitute a legally binding agreement between You and Philadelphia Realtors. By accessing or using this Website in any manner, You acknowledge that You have read, understood, and agree to be bound by these Terms in their entirety.


Interpretation and Definitions

Interpretation

Words with capitalized initial letters have meanings defined below. These definitions apply equally whether they appear in singular or plural form.

Definitions

  • Affiliate means any entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
  • Company (also referred to as “We,” “Us,” or “Our”) refers to Philadelphia Realtors, a licensed real estate referral company operating under the laws of the Commonwealth of Pennsylvania, with its website accessible at https://www.philadelphiarealtors.com.
  • Country refers to: Pennsylvania, United States.
  • Device means any device capable of accessing the Service, including computers, mobile phones, and digital tablets.
  • Privacy Policy means the Company’s Privacy Policy, accessible on the Website, which governs the collection, use, storage, and sharing of your personal information and is incorporated into these Terms by reference.
  • Referral Fee means the compensation paid to Philadelphia Realtors by a Third-Party Agent or their brokerage upon the successful closing of a real estate transaction involving a User referred by the Company.
  • Referring Broker / Referral Agent refers to Philadelphia Realtors acting in its capacity as a licensed real estate referral agent.
  • Service refers to this Website and all referral matching services offered by the Company as described herein.
  • Supervising Broker refers to Real Brokerage (Real Broker, LLC), the licensed Pennsylvania real estate brokerage under which Philadelphia Realtors holds its real estate license.
  • Terms or Terms and Conditions means this entire agreement between You and the Company governing Your use of the Service.
  • Third-Party Agent means any licensed real estate agent, buyer’s agent, seller’s agent, or brokerage to whom Philadelphia Realtors may refer a User.
  • Third-Party Social Media Service means any services or content provided by a third party that may be displayed, included, or made available through the Service.
  • User Data means any personal information, contact details, real estate needs, preferences, financial parameters, or other data submitted by You through the Service.
  • Website refers to Philadelphia Realtors, accessible at https://www.philadelphiarealtors.com.
  • You means the individual accessing or using the Service, or the legal entity on whose behalf such individual acts.

Important Disclosures — Please Read Carefully

1. We Are a Licensed Real Estate Referral Agent — Not a Full-Service Brokerage

Philadelphia Realtors operates exclusively as a licensed real estate referral agent. We do not list properties, represent buyers or sellers in negotiations or transactions, prepare or execute real estate contracts, provide real estate investment advice, or offer any brokerage services directly to consumers.

Our sole service is to:

  1. Collect information from prospective buyers, sellers, and others with real estate needs;
  2. Evaluate those needs; and
  3. Match and refer You to one or more licensed Third-Party Agents best suited to assist You.

Our real estate license is held under and supervised by Real Brokerage (Real Broker, LLC), a licensed real estate brokerage operating in Pennsylvania. All referral activity conducted by Philadelphia Realtors is performed in compliance with Pennsylvania real estate licensing law and the supervision requirements of Real Brokerage.

2. How We Are Compensated — Referral Fee Disclosure

Philadelphia Realtors receives a Referral Fee paid directly by the Third-Party Agent or their brokerage upon the successful closing of a real estate transaction. By using this Service and submitting Your information, You expressly acknowledge and consent to this referral fee arrangement.

You further acknowledge that:

  • The Referral Fee is paid by the agent or brokerage, not by You.
  • The Referral Fee is a percentage of the agent’s commission, agreed upon in a separate written referral agreement between Philadelphia Realtors and the receiving agent.
  • Your transaction costs are not increased as a result of this referral arrangement, unless separately and explicitly disclosed to You in writing by Your assigned agent or their brokerage.
  • Philadelphia Realtors has a financial interest in referring You to agents and brokerages, and You should factor this in when evaluating any referral.

3. “REALTOR®” Trademark Disclaimer

Philadelphia Realtors is NOT affiliated with, endorsed by, sponsored by, or a member of the National Association of REALTORS® (NAR), any state REALTOR® association, any local REALTOR® board, or any Multiple Listing Service (MLS). The term “REALTOR®” is a federally registered collective membership mark owned exclusively by the National Association of REALTORS® and may only be used by its members.

The word “Realtors” in our business name refers solely to our focus on the Philadelphia-area real estate market and does not imply NAR membership, MLS access, or any affiliation with any REALTOR® organization. Third-Party Agents to whom we refer clients may or may not independently hold REALTOR® membership. You should confirm this directly with any agent before entering into a representation agreement.


Acknowledgment

These Terms govern Your use of this Service and constitute the entire agreement between You and the Company. By accessing or using this Service — including by submitting any form, inquiry, or personal information — You agree to be bound by these Terms and Our Privacy Policy. If You disagree with any part of these Terms, You must not access or use the Service.

You represent that You are at least 18 years of age. The Company does not knowingly permit individuals under 18 to use the Service or submit personal information through it.


Description of Service — Referral Matching

When You submit User Data through this Website, You expressly authorize and consent to Philadelphia Realtors:

  1. Collecting, storing, and processing Your submitted information for the purpose of evaluating Your real estate needs and matching You with one or more Third-Party Agents;
  2. Sharing Your information with one or more licensed real estate agents or brokerages for the sole purpose of facilitating a referral introduction;
  3. Sharing Your information with Real Brokerage as required by Pennsylvania real estate law and brokerage compliance obligations;
  4. Contacting You by phone, email, text message (SMS/MMS), or other means using the contact details You provide, including via automated or pre-recorded means where permitted by applicable law, for purposes related to Your referral; and
  5. Receiving a Referral Fee from the Third-Party Agent or their brokerage upon the successful closing of a transaction involving You, as described in the Referral Fee Disclosure above.

You are under no obligation to work with any agent referred to You. You may decline any referral introduction at any time, for any reason, without penalty.

Philadelphia Realtors does not guarantee the performance, conduct, availability, licensing status, results, or outcomes of any Third-Party Agent to whom You are referred. The relationship formed between You and any Third-Party Agent is entirely independent of Philadelphia Realtors. Any services provided to You are solely the responsibility of that agent and their brokerage.

Accuracy of Information Submitted

You represent and warrant that all User Data You submit through this Website is accurate, complete, truthful, and not misleading to the best of Your knowledge. Submitting false, fraudulent, or materially inaccurate information may result in immediate termination of Your access to the Service and may be reported to relevant authorities where required by law.


No Agency, Partnership, or Employment Relationship

Nothing in these Terms shall be construed to create any agency, partnership, joint venture, employment, or franchise relationship between Philadelphia Realtors and any Third-Party Agent. Third-Party Agents are independent licensed professionals and are not employees, agents, or representatives of Philadelphia Realtors or Real Brokerage for any purpose beyond what is expressly described in the referral arrangement.


Links to Other Websites

Our Service may contain links to third-party websites or services not owned or controlled by Philadelphia Realtors. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by reliance on any such content, goods, or services. We strongly advise You to read the terms and conditions and privacy policies of any third-party sites You visit.


Intellectual Property

All content on this Website — including but not limited to text, graphics, logos, images, and software — is the property of Philadelphia Realtors or its content suppliers and is protected by applicable U.S. and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from this Website without prior written consent from the Company.


Prohibited Uses

You agree not to use this Service to:

  • Submit false, fraudulent, or misleading information;
  • Impersonate any person or entity;
  • Violate any applicable local, state, national, or international law or regulation;
  • Transmit any harmful, offensive, or disruptive content;
  • Attempt to gain unauthorized access to any portion of the Website or its related systems;
  • Interfere with or disrupt the integrity or performance of the Service; or
  • Use the Service for any commercial purpose other than its intended use of obtaining a real estate referral.

Termination

We reserve the right to terminate or suspend Your access to this Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, submission of false information, or conduct we determine to be harmful to the Company, Third-Party Agents, or other users. Upon termination, Your right to use the Service ceases immediately.


Limitation of Liability

To the fullest extent permitted by applicable law, the total cumulative liability of Philadelphia Realtors, Real Brokerage, and their respective affiliates, officers, directors, employees, agents, licensors, and service providers for any and all claims arising out of or related to these Terms or Your use of the Service shall not exceed one hundred U.S. dollars ($100.00) or the total amount actually paid by You to the Company, whichever is greater.

In no event shall Philadelphia Realtors or any of the foregoing parties be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages of any kind, including but not limited to lost profits, lost data, loss of goodwill, service interruption, personal injury, or property damage, even if advised of the possibility of such damages, and even if a remedy fails of its essential purpose.

Philadelphia Realtors is not liable for any damages, losses, disputes, dissatisfaction, or claims of any kind arising out of the actions, omissions, representations, advice, or services (or lack thereof) of any Third-Party Agent to whom You are referred.

Some jurisdictions do not allow certain liability exclusions or limitations. In such jurisdictions, liability will be limited to the greatest extent permitted by applicable law.


“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided to You “AS IS” and “AS AVAILABLE,” with all faults and defects and without warranty of any kind. To the maximum extent permitted by applicable law, the Company expressly disclaims all warranties — express, implied, statutory, or otherwise — including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free;
  • Any referral will result in a completed real estate transaction;
  • Any Third-Party Agent will meet Your expectations or requirements;
  • The Website is free of viruses, malware, or other harmful components; or
  • Any information provided through the Service is accurate, complete, or current.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to You.


Indemnification

You agree to indemnify, defend, and hold harmless Philadelphia Realtors, Real Brokerage, and their respective affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your use of the Service; (b) Your submission of false or inaccurate information; (c) Your violation of these Terms; or (d) Your violation of any applicable law or the rights of any third party.


Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Philadelphia County, Pennsylvania, and You hereby consent to the personal jurisdiction of such courts.


Dispute Resolution

If You have a concern or dispute related to this Service, You agree to first attempt informal resolution by contacting us at hello@philadelphiarealtors.com. If the matter cannot be resolved informally within thirty (30) days, both parties agree to pursue resolution through binding arbitration in Philadelphia, Pennsylvania, in accordance with the rules of the American Arbitration Association (AAA), except where prohibited by applicable law. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.

Class Action Waiver: To the fullest extent permitted by law, You agree that any dispute resolution proceeding will be conducted on an individual basis only, and not as a class, consolidated, or representative action.


For European Union (EU) Users

If You are a consumer residing in the European Union, You will benefit from any mandatory protections afforded by the laws of Your country of residence, and nothing in these Terms shall limit or waive those rights.


United States Legal Compliance

You represent and warrant that: (i) You are not located in a country subject to a United States government embargo or designated as a “terrorist supporting” country by the U.S. government; and (ii) You are not listed on any U.S. government list of prohibited or restricted parties.


Severability and Waiver

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver: Failure by the Company to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of the Company to be effective.


Translation

These Terms and Conditions may be translated into other languages for convenience. In the event of any conflict or inconsistency between the English version and any translated version, the original English text shall prevail.


Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by the Company on the Website, constitute the entire agreement between You and Philadelphia Realtors with respect to the Service, and supersede all prior and contemporaneous agreements, understandings, representations, and warranties.


Changes to These Terms and Conditions

We reserve the right to modify or replace these Terms at any time at Our sole discretion. If a revision is material, We will make reasonable efforts to provide at least 30 days’ notice before the new terms take effect, via email or a prominent notice on the Website. What constitutes a material change is determined at Our sole discretion. Continued use of the Service after revised Terms become effective constitutes Your acceptance of those Terms. If You do not agree to the revised Terms, You must stop using the Service.
